Any computer software downloadable or otherwise available from the Muzigle Website is licensed subject to the terms of the applicable license agreement. Any services purchased or otherwise made available from Muzigle Web site are licensed under the terms of the applicable terms of service agreement.

The Materials included on the Muzigle Web site have been compiled by Muzigle from a variety of sources, and are subject to change without notice. All media files on the Muzigle Web site are protected by copyright laws. You may not, under any circumstances, reproduce, record, publish, publicly exhibit or distribute any media files made available for playback on the Muzigle Web site without Muzigle's express written consent. Integrity Policy

Muzigle believes that the Muzigle Web Site should be a positive, creative environment for creation, connection, and collaboration among its Users.

Muzigle reserves the right without prior notice to affected Users to remove material (including, but not limited to photos, text, files, User submissions, User profiles, and User accounts) from the Muzigle Web Site because it is harmful, threatening, abusive, harassing, vulgar, obscene, hateful, pornographic, libelous or otherwise deemed, in the sole discretion of Muzigle, to be objectionable or incompatible with these Terms of Use and/or the goals of the Muzigle.

Users' Agreement not to use the Muzigle Web Site for certain purposes:

Users agree not to use the Muzigle Music Web Site to upload, post, email, transmit or otherwise make available any content that Muzigle, in its sole discretion, deems to be harmful, threatening, abusive, harassing, vulgar, obscene, hateful, pornographic, libelous, or otherwise objectionable; upload any content that infringes upon any patent, trademark, trade secret, copyright or other proprietary rights of any party, or User Submissions that Users do not have a right to make available under applicable law or any contractual or fiduciary relationships; impersonate any person or entity, or falsely state or otherwise misrepresent themselves or their affiliation with any person or entity; upload, post, email, transmit or otherwise make available any unsolicited or unauthorized advertising, promotional materials, junk mail, spam, chain letters, pyramid schemes, or any other form of solicitation or commercial solicitation, except for the placement of advertisements using the Muzigle Advertising tools, the legitimate and lawful solicitation of collaborative partners, or the legitimate promotion of musical or other related creative talent as determined by Muzigle, in its sole discretion; send unsolicited email advertisements to Muzigle Web Site User email addresses; upload, post, email, transmit or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment; intimidate or harass another User; or, use or attempt to use another User's account, service or system without prior written authorization from Muzigle Inc. or create a false identity on the Muzigle Web Site.

Children Under Age 13

Children under age 13 are not permitted to register for the Muzigle Web Site. Muzigle does not knowingly collect or solicit personal information from anyone under the age of 13 or knowingly allow such persons to register for the Muzigle Web Site. If you are under 13, please do not register for the Muzigle Web Site or send any information about yourself to Muzigle, including your name, address, telephone number, or email address. No one under age 13 is allowed to provide any personal information to or on the Muzigle Web Site. In the event that Muzigle learns that it has collected personal information from a child under age 13, without verification of parental consent, Muzigle will delete that information as quickly as possible. Children Between the Ages of 13 and 18

Muzigle recommends that minors over the age of 13 ask their parents for permission before sending any information about themselves to anyone over the Internet.

User Disputes

Users of the Muzigle Web Site are solely responsible for their interactions with other Muzigle Users, including those they collaborate with whether on or off the Muzigle Web Site. The Muzigle Web Site enables Users to apply terms (Terms) to their work in particular screens. Users of the Muzigle Web Site are solely responsible for Terms they apply to their membership in Muzigle Web Site. Muzigle is not responsible for enforcing Terms or arbitrating, hearing or settling disputes over Terms that may arise between Users. Muzigle reserves the right, but has no obligation, to monitor disputes between Users of the Muzigle Web Site.

SITES LINKED FROM THE MUZIGLE WEB SITE

The sites linked from the Muzigle Web site are not under Muzigle's control, and Muzigle does not assume any responsibility or liability for any communications or materials available at such linked sites. Muzigle does not intend links on the Muzigle Web site to be referrals or endorsements of the linked entities; they are provided for convenience only.

DISCLAIMER OF WARRANTY

The services, information or data (collectively, "Information") made available at the Muzigle Web site are provided "AS IS", without warranties of any kind. Muzigle expressly disclaims any representations and warranties, including without limitation, the implied warranties of merchantability and fitness for a particular purpose. Muzigle shall have absolutely no liability in connection with the services including without limitation, any liability for damage to your computer hardware, data, information, Materials and business resulting from the Information or the lack of information available on the Muzigle Web site. Muzigle shall have no liability for:

Any loss or injury caused, in whole or in part, by its actions, omissions, or negligence, or for contingencies beyond its control, in procuring, compiling, or delivering the Information;

For purposes of this section, "Muzigle" shall include Muzigle, Inc. and its divisions, subsidiaries, successors, parent companies, and their employees, partners, principals, agents and representatives, and any third-party providers or sources of information or data.

LIMITATION OF LIABILITY

Under no circumstances shall Muzigle be liable for any losses or damages whatsoever, whether in contract, tort or otherwise, from the use of, or reliance on, the Information, or from the use of the Internet generally.

For purposes of this section, "Muzigle" shall include Muzigle, Inc, and its divisions, subsidiaries, successors, parent companies, and their employees, partners, principals, agents and representatives, and any third-party providers or sources of information or data.

Muzigle, Inc., based upon its interpretation of the Section 508 regulations applicable to audio-visual playback products, reasonably believes that its products may support the features set forth under Section 1194.21 Software Applications and Operating Systems and Section 1194.22 Web-Based Internet Information and Applications categories.

Pursuant to Title 17, United States Code, Section 512(c)(3), a notification of claimed infringement related to any of the Muzigle Properties must be a written communication addressed to the designated agent as set forth above, and must include substantially all of the following:

A physical or electronic signature of the owner (or person authorized to act on behalf of the owner) of an exclusive right that is allegedly infringed;
Specific identification of the copyrighted work claimed to have been infringed, or if multiple copyrighted works are covered by a single notification, a list of each copyrighted work claimed to have been infringed;
Information related to the work(s) reasonably sufficient for Muzigle to promptly locate the work (e.g. title of work, location within the Muzigle Properties, etc.);
Information reasonably sufficient to permit Muzigle to directly contact the complaining party, such as a complete name and address, telephone number, and an email address;
A statement that the complaining party has a good faith belief that use of the work(s) in the manner complained of is not authorized by the copyright owner, its agent, or the law;
A statement requesting that Muzigle take a specific act with respect to the alleged infringement (e.g., removal, access restricted or disabled); and
A statement that the information in the notification is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

Governing Law and Venue

By visiting or using the Muzigle Web Site, Users agree that the laws of the United States of America and the State of California, without regard to conflicts of laws principles, will govern these Terms of Use and any dispute of any sort that might arise between you and Muzigle or any of its affiliates and subsidiaries. Any legal action or proceeding related to this Web Site (including, but not limited to, User visits to or use of the Muzigle Web Site) shall be brought exclusively in a federal or state court of competent jurisdiction sitting in California . To the extent you might have in any manner violated or threaten to violate Muzigle or any of its affiliates' proprietary or intellectual property rights, Muzigle may seek injunctive or other appropriate relief in any state or federal court of competent jurisdiction. For the purpose of such relief, you hereby consent to, and waive all defenses of lack of personal jurisdiction and forum non convinience with respect to, non-exclusive venue and jurisdiction in the state and federal courts of California.

Any claim, action or proceeding by you related in any way to the Muzigle Web Site and/or the Service (including your visit to or use of the Web Site and/or the Service) must be instituted within one (1) year after the cause of action arose or be forever waived and barred.

Indemnity

You agree to indemnify and hold Muzigle, its subsidiaries and affiliates, and each of their owners, directors, officers, agents, contractors, partners, joint ventures and employees, harmless from and against any loss, liability, claim, or demand, including reasonable attorney's fees, arising out of any claim, action, investigation or proceeding made or instituted by any third party due to or arising out of your use of the Muzigle Web Site (including, but not limited, the Services, User visits to or use of the Muzigle Web Site) in violation of these Terms of Use or your violation of any law or the rights of a third party.

Other

These Terms of Use together with any other policies of Muzigle posted by it on the Muzigle Web Site, constitute the entire agreement between you and Muzigle regarding the use of the Muzigle Web Site, superseding any prior agreements between you and Muzigle relating to your use of the Muzigle Web Site. The failure of Muzigle to exercise or enforce any right or provision of these Terms of Use shall not constitute a waiver of such right or provision in that or any other instance. Muzigle reserves the right to make changes to the Muzigle Web Site, policies, and these Terms of Use at any time. Changes take effect when they are posted on the Muzigle Web Site. If any provision of this Agreement is held invalid, the remainder of this Agreement shall continue in full force and effect.

The Muzigle Web Site and its contents are intended to comply with the laws and regulations in the United States. Other countries and jurisdiction may have laws, and regulatory requirements that differ from those in the United States. Any content, offer or service on the Muzigle Web Site is void where prohibited.

Termination of Service

You agree that Muzigle, in its sole discretion and without prior notice, has the right but not the obligation to delete or deactivate your Muzigle Web Site account, block your email or IP address, or otherwise terminate your access to or use of the Muzigle Web Site (or any part thereof), immediately and without notice, and remove and discard any User Submissions within the Muzigle Web Site, for any reason, including, without limitation, if Muzigle believes that you have acted inconsistently with these Terms of Use. Further, you agree that Muzigle shall not be liable to you or any third-party for any of the foregoing actions or for termination of your access to the Muzigle Web Site. Further, you agree not to attempt to use the Muzigle Web Site after said termination.

Without limiting the foregoing, in accordance with the DMCA and other applicable law, Muzigle has adopted a policy of terminating, in appropriate circumstances and in the sole discretion of Muzigle, members who are deemed to be repeat infringers of intellectual property rights. Muzigle may also, at its sole discretion and without prior notice, limit access to the Muzigle Web Site and/or terminate the memberships of any Users who, in the judgment of Muzigle, infringe any intellectual property rights of others, whether or not there is any repeat infringement.

Fees and Refund Policy

Its is agreed by the user that muzigle.com reserves the right to charge for its Services and to change its fees from time to time in its discretion. If muzigle.com terminates your Membership because you have breached the Agreement, you shall not be entitled to the refund of any unused portion of subscription fees.
